Terms of Service

Version 2026-07-28 · This is a draft awaiting final legal review. Please contact the PayNext team for the binding version before relying on it.

1. Who we are, and who these Terms are for

PayNext is developed and operated by D-WAY LTD, a company registered in Cyprus under registration number HE 409481, based in Limassol, Cyprus. References to "we", "us", and "PayNext" in these Terms mean D-WAY LTD.

These Terms are a binding agreement between you and PayNext ("we", "us", "PayNext") governing your use of the PayNext invoicing platform (the "Service").

The Service is offered exclusively to businesses, sole traders, and professionals acting in the course of their trade or profession. By registering, you confirm you are acting as a business, not as a consumer. Consumer-protection rules applicable to individuals acting outside their trade do not apply to this agreement.

2. What the Service is — and what it is not

PayNext is software. It provides tools you operate: invoice document generation, expense recording, payslip document formatting, client records, and secure access sharing with an accountant you choose.

PayNext is not an accounting firm, payroll provider, tax advisor, law firm, or fiduciary. Specifically:

Every figure on every document generated through the Service — invoice amounts, VAT amounts, expense values, payslip earnings and deductions — is entered by you or by persons you authorize. The Service formats documents from your figures; it performs no salary, tax, or contribution calculations and verifies none of your figures.

Automated conveniences (such as suggested VAT treatment based on client country and VAT number, recurring invoice generation on schedules you define, or overdue reminders on terms you set) are software defaults operating on your data and your instructions. You are responsible for reviewing and confirming their output. They are not advice, and reliance on them does not transfer any responsibility to PayNext.

Nothing in the Service, its documentation, or its support communications constitutes tax, legal, accounting, or financial advice.

3. Accounts and approval

Accounts are subject to review and approval by a platform administrator before invoices can be created. We may decline, suspend, or terminate accounts that violate these Terms, that we cannot verify, or that present fraud, legal, or security risk — with reasonable notice where practicable, and immediately where the risk requires it.

You are responsible for keeping your login credentials, two-factor factors, and any tokens confidential, and for every action taken through your account, including actions of accountants and other persons you invite or authorize.

4. Your content, your responsibility

You retain ownership of the data you submit — clients, invoices, expenses, payslips, and related content ("Your Content"). You grant us a limited, non-exclusive licence to host, process, and display Your Content solely to provide the Service to you.

You are solely responsible for Your Content. That includes, without limitation: the accuracy, completeness, legality, and tax treatment of every invoice, expense, and payslip you or your authorized users create; compliance with the invoicing, VAT, accounting, employment, and record-keeping laws of every jurisdiction relevant to your business; the decision to send any document to any recipient; and retaining your own copies of records to the extent required by law. PayNext has no obligation to review Your Content and assumes no responsibility for it.

5. Data protection (GDPR)

This section describes how responsibility for personal data is divided. It reflects Regulation (EU) 2016/679 ("GDPR") and, for customers and data subjects in the United Kingdom, the UK GDPR and Data Protection Act 2018. References to the GDPR include the UK GDPR where applicable.

a) Data we control. PayNext is the data controller only for the personal data of the platform relationship itself: your account registration details (name, business name, email, country), your subscription and billing records, your security and audit logs, and your communications with us. We process this data to provide and secure the Service, to bill you, and to meet our own legal obligations. Details are set out in our Privacy Policy.

b) Data you control. For all personal data inside Your Content — your clients' names and contact details, invoice recipients, employee details on payslips, and anything else you or your authorized users enter — you are the data controller and PayNext is your data processor. We store and process that data only on your documented instructions (which these Terms constitute), only to provide the Service, and we do not access, use, analyze, or disclose it for any other purpose.

c) Your obligations as controller. You are responsible for having a lawful basis for the personal data you enter; for providing any notices and obtaining any consents your clients, recipients, and employees are entitled to; for the accuracy of that data; and for responding to data-subject requests (access, rectification, erasure, and others) from your own clients and employees. If such a request reaches PayNext, we will redirect it to you; we will not respond on your behalf.

d) Our processor commitments. For data we process on your behalf we will: process it only to provide the Service; enforce per-tenant isolation at the database layer so no other tenant can access it; encrypt it in transit; restrict access by our personnel to what is strictly necessary for operating the Service, under confidentiality obligations; notify you without undue delay of any personal-data breach affecting Your Content; assist you, to a reasonable extent and at your cost where material, with your controller obligations; make available to you information reasonably necessary to demonstrate our compliance with this section; and on termination, delete Your Content in accordance with Section 11 (Data retention) or return it via the export tools available in the Service. We use vetted infrastructure sub-processors to host the Service; a current list is available on request, we will notify you of material changes to it, and we remain responsible for their performance.

e) Export and deletion tools. Self-service export of Your Content and self-service account deletion (with a 30-day grace period) are available on every plan. These tools are the primary means of exercising return and deletion of Your Content.

6. Acceptable use

You agree not to use the Service to issue unlawful, fraudulent, or misleading invoices or documents; to impersonate another business; to enter data you have no right to process; to probe, circumvent, or test the Service's security or rate limits; or to resell or provide the Service to third parties as your own. We may suspend accounts engaged in such use immediately.

7. Fees and billing

Fees are described on the pricing page and may be updated with effect for subsequent billing periods; price changes will be notified in advance. Subscription payments are processed by licensed third-party payment providers; PayNext does not store your full card details. Accounts designated billing-exempt by a platform administrator are not charged for the duration of that designation, which may be modified or withdrawn at our discretion. Fees are non-refundable except where required by law.

8. Warranty disclaimer

The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including fitness for a particular purpose, accuracy, availability, or non-infringement. We do not warrant that the Service is error-free or uninterrupted, that documents it formats satisfy the legal requirements of any particular jurisdiction, or that automated conveniences produce correct results for your circumstances.

9. Limitation of liability

To the maximum extent permitted by applicable law:

PayNext is not liable for any indirect, incidental, special, or consequential loss; loss of profits, revenue, business, goodwill, or data; tax penalties, interest, fines, or assessments; or claims by your clients, employees, or any third party — in each case however arising, even if advised of the possibility.

PayNext's total aggregate liability arising out of or in connection with the Service is limited to the fees you actually paid to us in the twelve (12) months preceding the event giving rise to the claim.

Nothing in these Terms excludes liability that cannot be excluded under applicable law, including liability for fraud or for death or personal injury caused by negligence.

10. Indemnity

You will indemnify and hold harmless PayNext, its owners, and personnel from and against any claims, damages, penalties, and reasonable costs (including legal fees) arising from: Your Content; your breach of these Terms; your violation of any law applicable to your business, including tax, invoicing, employment, and data-protection law; or claims brought by your clients, employees, or invoice recipients in connection with your use of the Service.

11. Data retention and account lifecycle

Lapsed paid accounts. If your paid subscription lapses and is not reactivated, your account is frozen immediately. While frozen, access to the Service is suspended: you cannot view your dashboard, invoices, clients, or other content, and you cannot create new invoices or documents. One function remains available throughout the retention window: a data export page, where you can download a complete copy of Your Content (invoices, clients, expenses, receipts, payslips) at any time.

Frozen accounts are retained for thirty (30) days from the date of freezing, with reminder emails at freezing, weekly thereafter, and a final notice approximately 48 hours before deletion. Reactivating your subscription at any point during the window restores full access immediately, with all data intact. If the subscription is not reactivated within 30 days, the account and all associated data are permanently deleted.

Never-paid accounts. Accounts that have never held a successful paid subscription and remain inactive are permanently deleted fourteen (14) days after approval, without further notice.

Deletion is irreversible. Export anything you need before your window closes — your own legal record-keeping obligations (for example, invoice retention periods under applicable VAT law) remain yours and are not affected by our retention window. Backups, security and audit logs, and records we are legally required to keep (such as billing records) may be retained separately for the periods required by applicable law, and remain protected under Section 5.

12. Intellectual property

The Service, its software, design, and branding are and remain the property of PayNext. These Terms grant you a right to use the Service for your business during your subscription, and no other rights.

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified by email or in-app notice at least fourteen (14) days before taking effect; continued use after that date constitutes acceptance. The version date at the top identifies the current text.

14. Termination

You may stop using the Service and request account deletion at any time using the self-service tools. We may suspend or terminate your account for material breach with reasonable notice where practicable, or immediately where the breach involves unlawful use, security risk, or non-payment. Sections 4, 5, 8, 9, 10, 11, and 15 survive termination.

15. Governing law and jurisdiction

These Terms are governed by the laws of the Republic of Cyprus, without regard to conflict-of-laws rules. The courts of the Republic of Cyprus have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or the Service.
